Overview:
Company law concerns companies, business organizations, corporations, partnerships & other associations carrying some sort of economic activity. This certification will teach you about company law & cover various areas in allotment of securities, private placement, share capital, debentures, dividend payment, audit, appointment of directors, board meetings, national company law tribunal,appellate authority, amalgamations,inspection, inquiry, sick companies and winding up
This course introduces students to the interference between law and management, in order to detect situations where legal questions could arise.
Prerequisite:
- Candidates should have their own laptop and a good internet connection.
- They should have an account on Skype.
Course Content:
- Introduction to law: what is a legal rule? Comparison between roman-Germanic law and common law
- Contracts: definition, validity, contract liability
- Torts
- Company law: definition of a company, choice of the company form such as, partnership, limited liability company, company by shares
- Corporate governance: comparison between Europe and the U.S.
